Governing Law and Venue

The laws of the United States of America and the state of Nevada govern these Terms of Use. You agree that any legal action between you and EMPLOYERS arising from or relating to use of this website shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Nevada. To the extent that any portion of this Terms of Use is invalidated by a court of competent jurisdiction, the remainder of the Terms of Use shall survive with full force and effect.

Forum Section

In addition to the forgoing Terms of Use, should you choose to participate in our interactive Forum section, the following terms of use shall also apply.
 
You grant to EMPLOYERS and its designees a perpetual, irrevocable, worldwide, non-exclusive, fully-paid up, sublicensable, transferable and royalty free right and license to use any content, including all or any part of the ideas, expression of ideas, inventions or other materials you submit, including without limitation, feedback, comments, documents, suggestions, and/or proposals (collectively, “Contributions”) to the Forum without restrictions of any kind and without any payment or other consideration of any kind to you or any third party, without further permission from you or any third party, and without notice to you or to any third party. The license shall include, without limitation, the irrevocable right to reproduce, prepare derivative works, combine with other works, alter, translate, distribute, download, link to or from, transmit, advertise, market, make, have made, display, perform, and/or license the Contributions, and all rights therein, in the name of EMPLOYERS, or its designees throughout the world in perpetuity in any and all media now or hereafter known.

The license shall permit EMPLOYERS and its designees to, among other things, use portions of the Contributions you submit, rerecord or modify any audio tracks or visual images you provide, rewrite any Contributions you submit, and/or incorporate other materials, either created by EMPLOYERS and its designees or licensed from third parties, with the Contributions you submit. Any such works shall be deemed Contributions owned by EMPLOYERS and shall not be subject to your approval or payment by EMPLOYERS of any compensation to you.

You agree that Contributions you submit: (i) are original with you and accurate, and (ii) your submission of them and their use as contemplated or allowed by this Terms of Use do not violate and will not violate the rights of any third party or any local, state, national or foreign law, including but not limited to any right of publicity, copyright or trademark, right of privacy, right against defamation, libel, slander, or any other proprietary right.

By submitting a Contribution, you acknowledge and agree that EMPLOYERS and its designees may create on their own or obtain through submissions to the Forum or otherwise ideas, expression of ideas, inventions, or other materials, including, without limitation, feedback, comments, documents, suggestions, and/or proposals that may be similar or identical to the Contributions you submit through the Forum. You hereby waive any and all claims you may have had, may have, and/or may have in the future, arising out or relating to the fact or contention that the ideas, expression of ideas, inventions, or other materials, including, without limitation, feedback, comments, documents, suggestions, and/or proposals accepted, reviewed and/or used by EMPLOYERS and its designees may be similar to your Contributions.

Do not submit content that you know is false, inaccurate, libelous or otherwise misleading in any way, and do not mislead us or others regarding the origin of Contributions.

Do not post or transmit material you do not have the right to post or transmit under law (such as copyright, trade secret or securities) or due to your personal contractual or fiduciary relationships.  Do not post any personal or identifying information about another person, including addresses e-mail addresses, contact information, or phone numbers, and use care in posting your personal or identifying information.
 
You hereby release and agree to hold harmless EMPLOYERS, its subsidiaries, affiliated entities, employees, directors, officers, attorneys, agents, joint venturers, partners, licensees and assigns and each of their respective designees (”EMPLOYERS Entities”) with respect to any claims, damages, costs, losses and expenses, including reasonable attorneys’ fees, due to or arising out of (i) content, including Contributions, which you submit, post, transmit or make available through the Forum, (ii) the use of such content by the EMPLOYERS Entities for any purpose, (iii) your use of the Forum, or (iv) your violation of these Terms of Use.
